These Terms of Service ("Terms") govern your use of OK.pay, a product brand of OK.de Services GmbH, under which financial products and services provided by third-party financial service providers are made available within the OK.secure application.

By using OK.pay, you agree to these Terms and the applicable OK.pay Privacy Policy.

1. What OK.pay Is

1.1 OK.pay as a Product Brand

OK.pay is a product branding of OK.de Services GmbH used to describe financial products and features that are accessible within the OK.secure app.

OK.pay itself:

  • is not a bank
  • is not a payment service provider
  • is not an electronic money institution
  • is not a card issuer
  • does not provide regulated financial services

Important Financial Disclaimer

OK.pay is a product brand of OK.de Services GmbH and does not provide banking, payment, investment, or advisory services.

All financial products accessible under the OK.pay brand are provided by independent third-party financial service providers under their own responsibility and regulatory authorisation.

OK.de Services GmbH does not guarantee the availability, performance, or outcomes of any financial product and is not responsible for financial losses, declined transactions, or decisions made by financial service providers.

Nothing provided under the OK.pay brand constitutes financial, investment, legal, or tax advice.

1.2 Role of OK.de Services GmbH

OK.de Services GmbH:

  • operates the OK.pay brand
  • provides product presentation, branding, and customer access within the OK.secure app
  • does not perform regulated financial activities

The technical operation of the app is performed by OK.secure.
The financial services themselves are provided by independent third parties.

2. Financial Service Providers

All regulated financial products offered under the OK.pay brand are provided by independent third-party providers, including but not limited to:

  • Prisma Payments EP SA, Spain
  • Orenda Financial Services Limited
  • Issuing banks
  • Payment networks (e.g. Visa)

These providers:

  • act under their own regulatory licenses
  • determine eligibility, approvals, and compliance requirements
  • are responsible for account operation, transactions, and cards

3. Scope of These Terms

3.1 What These Terms Cover

These Terms govern:

  • the use of the OK.pay brand within the OK.secure app
  • access to financial products offered under the OK.pay name
  • the relationship between you and OK.de Services GmbH regarding OK.pay
3.2 What These Terms Do Not Cover

These Terms do not govern:

  • banking or payment services themselves
  • custody of funds or crypto assets
  • transaction execution or settlement
  • card issuance or card usage
  • AML, KYC, or sanctions checks

Those matters are governed by separate agreements between you and the relevant financial service providers.

4. Eligibility and Age Requirements

4.1 Legal Capacity

You must have legal capacity to enter into binding agreements to use OK.pay.

4.2 Minimum Age

Use of OK.pay financial products generally requires that you are at least 18 years old, subject to applicable law and the requirements of the financial service providers.

OK.de Services GmbH does not determine eligibility for regulated financial services.

5. Nature of OK.pay (Important Legal Clarification)

5.1 No Financial or Fiduciary Role

Neither OK.pay nor OK.de Services GmbH:

  • holds customer funds
  • executes payments
  • issues cards
  • provides financial advice
  • owes fiduciary duties to users

All financial decisions and services are performed by third parties.

5.2 No Regulated Crypto-Asset Services

Where crypto-related products are offered under the OK.pay brand:

  • any non-custodial crypto wallet functionality is provided via OK.secure
  • buying, selling, exchanging, or spending crypto is provided by third parties
  • OK.pay does not act as a crypto-asset service provider

6. Separate Financial and Cardholder Agreements

Use of OK.pay products requires acceptance of separate agreements, including:

  • account terms
  • cardholder agreements
  • issuer and network rules (e.g. Visa)

These agreements govern:

  • fees and limits
  • transaction authorization
  • card usage and disputes
  • suspension or termination

In case of conflict, those agreements prevail over these Terms.

7. Decisions and Service Availability

7.1 Decision Authority

All decisions regarding:

  • account approval
  • card issuance
  • transaction authorization
  • suspension or termination

are made exclusively by the financial service providers, not by OK.de Services GmbH.

7.2 No Guarantee of Availability or Acceptance

OK.de Services GmbH does not guarantee:

  • availability of financial products
  • acceptance of cards by merchants
  • successful completion of transactions

Availability depends on third-party systems, networks, and regulations.

8. Fees and Charges

8.1 OK.pay Branding and Access

Any fees related to OK.pay-branded products are disclosed prior to use.

8.2 Third-Party Fees

Financial service providers may charge fees for:

  • accounts
  • transactions
  • cards
  • currency exchange

These fees are determined and collected solely by the providers.

9. User Responsibilities

You are responsible for:

  • complying with financial provider terms
  • safeguarding cards and credentials
  • reviewing transactions and statements
  • contacting the financial provider for disputes

OK.de Services GmbH cannot resolve financial disputes on your behalf.

10. Suspension and Termination

10.1 By Financial Providers

Financial providers may suspend or terminate services under their own terms and legal obligations.

10.2 By OK.de Services GmbH

OK.de Services GmbH may restrict access to OK.pay-branded features where:

  • required by law
  • requested by financial partners
  • necessary to protect platform integrity

11. Limitation of Liability

To the maximum extent permitted by law, OK.de Services GmbH is not liable for:

  • financial losses
  • declined or reversed transactions
  • card misuse or fraud
  • actions or decisions of financial service providers
  • service interruptions caused by third parties

Mandatory consumer rights remain unaffected.

12. Disclaimer

OK.pay-branded products are provided "as is" and "as available", without warranties of any kind.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany.

To the extent permitted by law, the courts of Berlin, Germany shall have jurisdiction.

Mandatory consumer protection laws remain unaffected.

14. Changes to These Terms

We may update these Terms to reflect service, legal, or regulatory changes.

Material changes will be communicated. Continued use of OK.pay constitutes acceptance.
